                                                  SPRINGFIELD PARK BOARD CHESS CLUB BY-LAWS
                                                  REVISED February 2010 
                                                  MISSION
                                                  The Springfield Park Board Chess Club is devoted to the support, pursuit, and enjoyment of chess at all playing levels and in all its forms. Through weekly meetings, tournaments, and occasional events open to non-members, the Chess Club offers regular opportunities to play USCF-rated games in a variety of time-controls and tournament formats.

                                                  The Chess Club also seeks to foster chess activity in the community, by encouraging chess in the schools and at other playing venues. We acknowledge and support other chess organizations in Southwest Missouri and the Ozarks, and seek to enter into positive, cooperative relationships with them, whether through team competition, joint sponsorship of events, or travel to others' tournaments.

                                                  Proudly, the Springfield Park Board Chess Club adopts the motto, "Never Too Much Chess!" The Chess Club, its Executive Board, and membership will always strive to act in the spirit of this motto and mission.

                                                  ARTICLE I. OFFICES
                                                  The principal meeting site of the Springfield Park Board Chess Club shall be the South Side Senior Center, 2215 S. Fremont, Springfield, MO, 65804. The South Side Senior Center is owned and maintained by the City of Springfield and is managed by the Springfield/ Greene County Park Board. The usual mailing address shall be that of the current Chess Club President.

                                                  ARTICLE II  DEFINITIONS
                                                  Section 1. CHESS CLUB shall mean and refer to the Springfield Park Board Chess Club, its successors and assigns.

                                                  Section 2. EXECUTIVE BOARD shall mean and refer to those persons elected/appointed by the membership and shall be composed of no fewer than (4) OFFICERS.


                                                  Section 3. MEMBER shall mean and refer to any person who is in good standing with the general membership of the Chess Club.  A member in good standing will not be in arrears regarding annual dues or other obligations.

                                                  Section 4. Each member shall pay dues of $10 per year. Dues shall be paid on the first Friday in March in order to play in the club championship. There is no pro-rata payment due throughout the year, but in order to compete for the club championship dues must be paid prior to the championship's beginning.  For an additional $5, a member is afforded a club shirt with the Club's logo and name appearing on it.

                                                  ARTICLE III. MEETINGS
                                                  Section I. Regular weekly meetings of the Chess Club, devoted to the play and study of chess, shall be held on Friday evenings at the South Side Senior Center.

                                                  Section 2. ANNUAL MEETING. The annual meeting of the club membership shall be held during the month of March each year for the purpose of OFFICER ELECTONS, presentation of the FINANCIAL REPORT and the BUDGET PROPOSAL by the treasurer, and business deemed necessary by the EXECUTIVE BOARD. The meeting must be announced to the general membership no less than fifteen (15) days in advance. The President or duly elected board member shall preside over the meeting.  The announcement of such meeting will appear on the club's website:  www.springfieldparkboardchessclub.com

                                                  Section 3. SPECIAL MEETINGS of the club membership may be called as the Executive Board deems necessary.  A minimum of thirteen (13) days' notice shall be given to members.  Again, such special meetings will be announced on the website:  www.springfieldparkboardchessclub.com

                                                  Section 4. ROBERT'S RULES OF ORDER may be invoked by a majority vote during any annual or special meeting.  Following such invocation, the President shall immediately appoint a Parliamentarian (who may be the President). The Chess Club shall maintain a copy of ROBERT'S RULES OF ORDER in the Chess Club office and at all special meetings.

                                                  Section 5. USCF'S OFFICIAL RULES OF CHESS shall be observed in the conduct of all Chess Club gaming events. The Chess Club shall maintain the most recent copy of this book in the Chess Club office and at all gaming events.

                                                  Section 6. PLACE OF MEETINGS. The Executive Board may designate any place within Greene County for meetings as long as appropriate notice for such meetings has been given.

                                                  Section 7. RECORD OF MEETINGS. The Secretary, or duly appointed official, shall record the proceedings of every annual meeting and every special meeting and enter those minutes into the permanent CHESS CLUB JOURNAL or record book.  Such record book will be maintained at the club's meeting place and will be available upon request via the club website.

                                                  Section 8. QUORUM. The Executive Board shall not take any action on a motion unless THREE (3) members of the Board vote.

                                                  Section 9. The general membership shall not take action on a motion without a TWENTY -FIVE PERCENT (25%) representation of members being present or voting by absentee ballot. A QUORUM RECORD is to be made in the minutes by the Secretary or appointed recorder.

                                                  Section 10. VOTING. Each member in good standing shall have ONE (1) vote per motion with a simple majority determining passage. Voting shall be recorded in the permanent records of the Club.

                                                  Section 11. CHESS CLUB ANNOUNCEMENTS shall be made at the regular weekly meeting, prior to game play, by a member of the Executive Board.  And may also be announced on the club website.

                                                  ARTICLE IV .EXECUTIVE BOARD AND OFFICERS
                                                  Section 1. ELECTIONS. Elections to the Executive Board shall take place at the ANNUAL MEETING. No member of the Chess Club shall hold more than one (1) position on the Executive Board.

                                                  Section 2. OFFICERS' TERMS. All Officers serve a term of one year on the Executive Board. Officers may be re-elected.

                                                  Section 3. VACANCIES. If any office becomes vacant, the club membership shall receive a minimum of thirteen (13) days' notice and elect a replacement.

                                                  Section 4. OFFICERS ' RESPONSIBILITIES
                                                  A. PRESIDENT: The President shall be responsible for calling meetings and presiding over them. The President shall also assign club members to serve on committees (standing or ad hoc), as instructors or coordinators of specific club-sponsored events, as club representatives to the area schools, or as liaisons to the Springfield/Greene County Park Board. The President shall make other assignments as necessary for the Chess Club's efficient running; these include the setting up, cleaning, and securing of meeting sites.

                                                  B. SECRETARY: The Secretary shall maintain accurate and permanent records of all official meetings and non-financial transactions. The Secretary shall make available the minutes of each annual meeting and each special meeting of the Chess Club.

                                                  D. TREASURER. The Treasurer shall be responsible for the recording of all monies and their appropriate allocations. Standard accounting procedures shall be followed. A Treasurer's Report shall be presented in the ANNUAL MEETING.

                                                  E. TOURNAMENT DIRECTOR. The Tournament Director shall be a United States Chess Federation Certified Tournament Director during his or her entire term of office. The Tournament Director shall be responsible for managing Chess Club Tournaments and for resolving questions by reference to the USCF's OFFICIAL RULES OF CHESS. With the approval of the Executive Board, the Chess Club may also sponsor events managed by other USCF -certified tournament directors.

                                                  ARTICLE V. APPROVAL AND AMENDMENT OF BY-LAWS
                                                  The initial adoption and any future revision or amendment of these by-laws shall be made by ballot and require a TWO-THIRDS (2/3) majority vote of the Chess Club membership.
